Welcome to SteadOS. These Terms of Service ("Terms") govern your use of the SteadOS platform (the "Service") operated by Imagesoft Northwest, LLC ("we," "us," "our"). By using SteadOS, you agree to these Terms.

1. Acceptance of Terms

By creating an account or using SteadOS, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

You must be at least 13 years old to use SteadOS. By using the Service, you represent that you meet this age requirement.

2. Description of Service

SteadOS is a property management platform that helps you:

• Track equipment and infrastructure on your property
• Schedule and receive reminders for maintenance tasks
• Store and organize equipment manuals and documents
• Ask AI-powered questions about your equipment
• Access your data offline via Progressive Web App (PWA) technology

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

Account Creation

To use SteadOS, you must create an account with accurate information. You are responsible for:

• Providing accurate, current, and complete information during registration
• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

Account Security

You agree to use a strong password and to keep your login credentials confidential. We are not liable for any loss or damage arising from your failure to maintain account security.

4. Subscription and Billing

Free Trial

New users receive a 14-day free trial with full access to Individual tier features. No credit card is required to start the trial. At the end of the trial, you may choose to upgrade to a paid plan or let your account pause.

Paid Subscriptions

After the trial, you may subscribe to a paid plan (Individual or Business). Subscriptions are billed:

• Monthly: Charged at the start of each month
• Annually: Charged once per year (17% discount)

Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You'll be charged using your payment method on file.

Price Changes

We may change subscription prices with at least 30 days' notice. Price changes will take effect at your next renewal. If you don't agree with the new price, you may cancel before the renewal date.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellations take effect at the end of your current billing period—you'll retain access until then. No partial refunds for unused time.

5. 30-Day Money-Back Guarantee

If you're not satisfied with SteadOS within the first 30 days of paid use, contact us at support@steados.com for a full refund. This guarantee applies to your first paid subscription only (not to renewals).

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or to violate any laws
• Upload malware, viruses, or malicious code
• Attempt to gain unauthorized access to our systems or other users' data
• Scrape, harvest, or collect data from the Service using automated tools
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to send spam or unsolicited communications
• Impersonate another person or entity
• Share your account credentials with others
• Violate the intellectual property rights of SteadOS or third parties

We reserve the right to suspend or terminate accounts that violate these acceptable use policies.

7. User Content

By uploading photos, videos, notes, or other content to SteadOS, you grant us a limited license to store, display, and process this content solely for the purpose of providing our services to you. You retain all ownership rights to your content.

We do not:

• Sell your content to third parties
• Use your content for advertising
• Share your content publicly without your explicit consent

8. Data Collection

By using SteadOS, you acknowledge and agree to our collection of:

• Contact information (name, email, phone number, address)
• User content (photos, videos, notes)
• Usage data and diagnostics

9. SMS Communications

If you provide your phone number, you consent to receive SMS messages related to:

• Maintenance reminders
• Important alerts about your properties
• Service notifications

Standard message and data rates may apply. You can opt out of SMS notifications at any time in your account settings.

10. Account Deletion

You may delete your account at any time. Upon deletion:

• All personal information will be removed within 30 days
• Diagnostic and usage data may be retained in anonymized form
• Content you've shared in support interactions may be retained for legal compliance

11. Intellectual Property

Our IP

SteadOS and all related trademarks, logos, software, and content are owned by Imagesoft Northwest, LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

Your Content

You retain ownership of all data, documents, and content you upload to SteadOS ("Your Content"). By using the Service, you grant us a limited license to:

• Store, process, and transmit Your Content to provide the Service
• Create backups and copies for redundancy and disaster recovery
• Use anonymized, aggregated data to improve the Service

We will never sell Your Content or use it for advertising. You can export or delete Your Content at any time.

12. Data and Privacy

Your use of SteadOS is also governed by our Privacy Policy, which explains how we collect, use, and protect your data. By using the Service, you consent to our data practices as described in the Privacy Policy.

• Your data is encrypted in transit (TLS 1.3) and at rest (AES-256)
• We never sell your data to third parties
• You can export your data at any time (CSV, PDF, JSON)
• Deleted accounts are archived for 30 days, then permanently deleted

13. Disclaimers

As-Is Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

No Guarantee of Uptime

While we strive for high availability, we do not guarantee that the Service will be uninterrupted, error-free, or secure. We are not responsible for losses resulting from downtime, data loss, or service interruptions.

AI Accuracy

The AI assistant provides answers based on the documents you upload and general knowledge. While we strive for accuracy, AI-generated responses may contain errors. Always verify critical information with equipment manuals or qualified professionals.

Not Professional Advice

SteadOS is a tool for organizing and tracking property maintenance. It is not a substitute for professional advice from licensed contractors, engineers, or other qualified professionals. We are not responsible for decisions you make based on information from the Service.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STEADOS AND IMAGESOFT NORTHWEST, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow limitations on implied warranties or liability, so these limitations may not apply to you.

15. Termination

Your Right to Terminate

You may cancel your subscription or delete your account at any time from your account settings.

Our Right to Terminate

We may suspend or terminate your account if you:

• Violate these Terms or our acceptable use policies
• Fail to pay subscription fees
• Engage in fraudulent or illegal activity
• Create risk or legal exposure for SteadOS or other users

We'll provide notice when possible, but we reserve the right to suspend or terminate accounts immediately for serious violations.

Effect of Termination

Upon termination:

• Your access to the Service will be revoked
• Your data will be archived for 30 days, then permanently deleted
• You may request a data export within those 30 days
• Paid subscriptions will not be refunded (except per the money-back guarantee)

16. Changes to These Terms

We may update these Terms from time to time. We'll notify you of material changes via email at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.

17. Governing Law and Disputes

Governing Law

These Terms are governed by the laws of the State of Washington, USA, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms or your use of the Service will be resolved through binding arbitration in Washington State, rather than in court, except that you may assert claims in small claims court if they qualify.

Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive your right to participate in class actions, class arbitrations, or representative actions.

19. Severability
